Terms and Conditions

1. Introduction
These Terms & Conditions (“Terms”) are a legal agreement between you (the “Customer”, “you”) and JhumanJ SAS, a company incorporated in France doing business as “RayDocs” (“RayDocs”, “we”, “us” or “our”). They govern your access to and use of the RayDocs intelligent document data-extraction platform (the “Service”).
2. Acceptance of Terms
By executing an order form, statement of work, or any other agreement that references these Terms, or by otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
3. Manual On-Boarding & Accounts
- No self-service sign-up. RayDocs is provisioned manually. An account is created for you only after completion of a due-diligence and onboarding process carried out by our team.
- Authorised Users. You are responsible for all activity conducted under your workspace. You must ensure that each authorised user:
- is identified by a unique, verifiable email address,
- maintains the confidentiality of credentials, and
- uses the Service solely for your internal business purposes.
- Eligibility. You represent that you have the authority to bind the entity on whose behalf you are acting.
4. Service Description
RayDocs converts unstructured documents (e.g., PDF contracts, invoices, reports) into structured data defined by Customer-configured extraction templates. Processing employs a combination of proprietary software and third-party large-language-model (“LLM”) APIs selected by you (see Section 7).
5. Definitions
- “Confidential Information” means any non-public information disclosed by either party that is designated confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.
- “Document” means any file uploaded to the Service.
- “Output Data” means structured data, JSON, Excel, or other results generated by the Service from a Document.
6. Customer Responsibilities
- You warrant that you have (a) all rights necessary to upload Documents and (b) obtained all consents required under applicable data-protection laws.
- You shall not upload Documents that infringe third-party rights or violate law, nor use the Service to process regulated data (e.g., special-category personal data, protected health information) unless we have expressly agreed in writing.
- You remain solely responsible for verifying the accuracy, completeness, and appropriateness of all Output Data before relying on it.
7. Interaction with LLM Providers
- At onboarding you designate one or more LLM providers (e.g., OpenAI, Anthropic, Azure OpenAI). We act as processor of your Documents and transmit prompts to the chosen provider on your behalf.
- Each provider's use of Documents and prompts is governed solely by its own terms and privacy policies. RayDocs disclaims all liability arising from any provider's acts or omissions.
- You may change or add providers by written notice, subject to additional fees or integration lead time.
8. Fees & Payment
- Pricing, billing frequency, and payment terms are set forth in the applicable order form or SOW and are non-cancelable and non-refundable except as expressly stated herein.
- Late payments accrue interest at 1.5% per month (or the maximum rate permitted by law, if lower).
- All fees are exclusive of taxes, levies, and duties imposed by taxing authorities, which you shall pay.
9. Intellectual Property
- The Service, all related software, and all intellectual-property rights therein are and shall remain the exclusive property of RayDocs and its licensors.
- You grant RayDocs a limited licence to use Documents and Output Data solely to provide and improve the Service, comply with law, and support you.
- You retain all ownership rights in Documents and Output Data, subject to the foregoing licence.
10. Confidentiality, Data Security & Privacy
- Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care.
- RayDocs maintains administrative, technical, and organisational measures designed to protect Documents and Output Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure, or access.
- Where processing personal data subject to the GDPR or similar laws, the parties shall enter into a separate Data Processing Agreement (“DPA”), which is hereby incorporated by reference when executed.
11. Warranties & Disclaimers
- RayDocs warrants that it will provide the Service in a professional manner consistent with industry standards.
- EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE AND OUTPUT DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE”. RAYDOCS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- Due to the probabilistic nature of AI, RayDocs does not warrant that Output Data will be 100% accurate or free from error.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYDOCS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO RAYDOCS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY.
13. Indemnification
You will defend, indemnify, and hold RayDocs, its affiliates, and their respective directors, officers, and employees harmless from any third-party claim arising out of or related to (a) your Documents or Output Data, (b) your breach of these Terms, or (c) your violation of law.
14. Term & Termination
- The Term begins on the effective date of the first order form and continues until all order forms have expired or been terminated.
- Either party may terminate an order form for material breach not cured within thirty (30) days of written notice.
- Upon termination, your access to the Service will cease and RayDocs will, at your election, delete or return Documents and Output Data, except as required by law.
15. Changes to These Terms
We may revise these Terms to reflect changes in the Service or applicable law. Material changes will become effective thirty (30) days after notice (e-mail or in-Service notification). Your continued use of the Service after that date constitutes acceptance of the updated Terms.
16. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with French law, excluding its conflicts-of-laws rules. Any dispute not subject to arbitration (see Section 17) shall be subject to the exclusive jurisdiction of the courts of Paris, France.
17. Dispute Resolution & Arbitration
The parties will first attempt to resolve any dispute informally. If unresolved within sixty (60) days, the dispute shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one arbitrator appointed in accordance with said Rules. The seat of arbitration shall be Paris, France, and the language shall be English. Nothing prevents either party from seeking injunctive or other equitable relief in any competent court.
18. Miscellaneous
- Entire Agreement. These Terms, any DPA, and all order forms constitute the entire agreement between the parties and supersede all prior agreements relating to the Service.
- Severability. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
- Assignment. Neither party may assign its rights or obligations without the other party's prior written consent, except that RayDocs may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.
- Force Majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
